Part I — Confidentiality statement

At Focused Corporate Solutions Private Limited (Also known as FCS Filings), we place paramount emphasis on maintaining the confidentiality of Client information and robust Information Security Management. The following are the key features of our Confidentiality Framework, applicable to all our Clients:

  • We do not disclose any information pertaining to our Clients to any third parties.
  • We do not use our Clients’ identity or brand for our marketing purposes without their prior written consent.
  • We never provide our Clients’ names or information to other prospective clients for marketing or any other purposes.
  • We do not sell or disclose our Client list or Client information to any third parties under any circumstances.

Part II — Confidentiality agreement

It is understood and agreed that a Client of FCS Filings may provide certain information that is and must be kept confidential. To ensure the protection of such information, and to preserve any confidentiality necessary under applicable law including patent and/or trade secret laws, it is agreed as follows:

1. Scope of confidential information

The Confidential Information to be disclosed can be described as and includes:

  • Invention descriptions; technical and business information relating to proprietary ideas and inventions;
  • Patentable ideas; trade secrets; drawings and/or illustrations; patent searches;
  • Existing and/or contemplated products and services; research and development;
  • Production, cost, profit, and margin information; finances and financial projections;
  • Customers and clients; marketing strategies;
  • Current or future business plans and models — regardless of whether such information is designated as “Confidential Information” at the time of its disclosure.

2. Limitation of internal disclosure

  • Focused Corporate Solutions Private Limited shall limit disclosure of Confidential Information within its own organisation to its directors, officers, partners, members, employees, and/or independent contractors (collectively referred to as “Affiliates”) having a need to know.
  • Focused Corporate Solutions Private Limited and its Affiliates will not disclose Confidential Information obtained from the Client unless required to do so by law.

3. Exclusions from confidentiality obligations

This Agreement imposes no obligation upon FCS Filings with respect to any Confidential Information that:

  • (a) was in FCS Filings’ possession before receipt from the Client;
  • (b) is or becomes a matter of public knowledge through no fault of FCS Filings;
  • (c) is rightfully received by FCS Filings from a third party not owing a duty of confidentiality to the Client;
  • (d) is disclosed without a duty of confidentiality to a third party by, or with the authorisation of, FCS Filings;
  • (e) is public knowledge or is available in the public domain; or
  • (f) is independently derived by FCS Filings without reference to the Client’s Confidential Information.

4. Entire agreement

  • This Agreement constitutes the entire agreement between FCS Filings and the Client concerning the disclosure of Confidential Information.
  • Any addition or modification to this Agreement must be made in writing and duly signed by both parties.

5. Severability

  • If any of the provisions of this Agreement are found to be unenforceable, the remainder shall be enforced as fully as possible.
  • The unenforceable provision(s) shall be deemed modified to the limited extent required to permit enforcement of the Agreement as a whole.

6. Client responsibility & liability

  • The Client shall be solely responsible for any consequences, losses, or damages that FCS Filings may directly or indirectly incur or suffer due to any unauthorised activities conducted by the Client in breach of this Agreement.
  • The Client may incur criminal or civil liability as a consequence thereof.

Acknowledgement & acceptance

By engaging the services of FCS Filings, the Client acknowledges that they have read, understood, and agree to be bound by the terms of this Confidentiality Statement and Agreement.
